These Terms of Service ("Terms") govern your access to and use of the website machinetele.com (the "Site") and the software products, SaaS subscriptions, maintenance/support services, and consulting services (collectively, the "Services") provided by Machine Telecommunications Corporation ("Machine Telecom," "we," "us," or "our"). By accessing the Site, purchasing a license, using our Services, or entering into a separate agreement with us, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Services

Machine Telecom provides software licenses (under AGPLv3 or commercial licenses), SaaS subscriptions, maintenance and support services, and consulting services. The specific scope, features, and deliverables of any Service will be defined in a separate signed contract, purchase order, or online order form, as applicable.

2. License and Intellectual Property

Unless otherwise expressly stated in a separate license agreement, we retain all right, title, and interest in and to the Services, including all software, documentation, and any custom work or deliverables provided. Your use of the Services is subject to a limited, non-exclusive, non-transferable license granted under the terms of the applicable license agreement (AGPLv3, commercial license, or other signed contract). You do not acquire any ownership rights.

3. Payment Terms

We offer both one-time software licenses and recurring subscriptions. Payment terms are as follows:

All payments are processed through our third-party payment processor (Stripe). You agree to provide accurate and complete billing information.

4. Refund Policy

We offer refunds only for one-time licensed software, provided that the refund request is made within 90 days of the original purchase date. Refunds are not available for SaaS subscriptions, maintenance/support services, consulting services, or custom work unless expressly stated in a separate agreement.

Usage restrictions on our software and services are defined in the applicable license agreement or separate contract. Unless otherwise stated, you may not:

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Unless a separate service level agreement (SLA) or warranty is expressly signed by us, we disclaim all warranties to the fullest extent permitted by law.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MACHINE TELECOMMUNICATIONS CORPORATION BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE SERVICES, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED ZERO DOLLARS ($0).

8. Indemnification

Neither party shall be obligated to indemnify the other except as expressly set forth in a separate signed agreement. Nothing in these Terms shall be construed as creating any indemnification obligation.

9. Termination

Either party may terminate any agreement for the Services at any time, with or without cause, subject to the terms of any separate signed contract. Upon termination, you must cease use of the Services unless otherwise agreed. We are under no obligation to delete or return your data upon termination, unless required by applicable law or expressly stated in a separate agreement. Any provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and governing law.

10. Governing Law

These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.

11. Arbitration Clause and Class Action Waiver

Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Chicago, Illinois, before a single arbitrator. Judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver: You and Machine Telecom agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

12. Children

The Services are intended for businesses and adults. We do not knowingly provide services to children under the age of 13 (or under 16 in the EEA). By using the Services, you represent that you are not a minor in your jurisdiction.

13. Miscellaneous

These Terms, together with any separate signed agreement, constitute the entire agreement between you and Machine Telecom regarding the Services. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver. We may update these Terms from time to time by posting the revised version on the Site; continued use of the Services after such changes constitutes acceptance.
